Software License Usage Agreement: PLEASE READ THIS END USER AGREEMENT CAREFULLY BEFORE USING ISOCHRON INC. PRODUCTS OR SERVICES. YOUR USE OF AN ISOCHRON PRODUCT OR SERVICE CONSTITUTES YOUR AGREEMENT TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, THEN DO NOT USE THE PRODUCT OR SERVICE, AND CONTACT ISOCHRON CONCERNING A RETURN AUTHORIZATION. This End User License Agreement is entered into between Isochron Inc., a Delaware corporation, with its principal office at 11044 Research Boulevard, Suite C-220, Austin, Travis County, Texas 78759 ("Licensor" or "Isochron"), and the end user of certain Software supplied by Isochron to such end user ("you" or "Licensee"), and is effective upon your use of any Licensed Product. The following terms govern your use of Isochron Licensed Products and services. 1. DEFINITIONS The following definitions shall apply herein, unless otherwise expressly stated in this Agreement or in the accompanying or attached documents. 1.1 "Agreement" means this End User License Agreement, and any applicable additional terms and conditions incorporated herewith and that are or shall be included by reference. Such attachments may be incorporated as part of this Agreement from time to time. 1.2 "Designated Site" means the location where the Software Product is originally installed. 1.3 "Documentation" means user manuals, reference manuals, and all other written material delivered in connection with the Software that describes the functions and operations of the Software. 1.4 "Effective Date" means the date of your first use of any Licensed Product. 1.5 "Licensed Products" means the licensed Software and related Documentation. 1.6 "Proprietary Rights" means all intellectual property rights worldwide arising under statutory or common law, and whether or not perfected, including, without limitation, all (i) patents, patent applications, and patent rights; (ii) rights associated with works of authorship including copyrights, copyright applications, copyright registrations, and moral rights; (iii) rights relating to the protection of trade secrets and Confidential Information; (iv) any right analogous to those set forth in this Section 1.6 and any other proprietary rights relating to intangible property (other than trademark, trade dress, or service mark rights); and (v) divisions, continuations, renewals, reissues and extensions of the foregoing (as and to the extent applicable) now existing, hereafter filed, issued, or acquired. 1.7 "Software" means the object code version of the software components or Software Products marketed by Licensor, including any subsequent release or enhancement of such software and related Documentation that Licensor may provide to Licensee during the term of this Agreement. 1.8 "Software Product" means one or more of Licensor's products, including but not limited to the Interactive Cashless Reader (ICR) Content Builder. 2. LICENSE 2.1 Software. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee, and Licensee hereby accepts, a limited, personal, non-exclusive, nontransferable, non-assignable, revocable license ("License") under the Proprietary Rights of Licensor to use the Software subject to the following restrictions: 2.1.1 Authorized Use. Licensee may only use the Software for the sole and exclusive purpose of producing content for display on Vendcast® ICRs sold by Licensor, and for no other purpose. You agree that Isochron may audit your use of the Licensed Products to confirm your compliance with this Agreement, and you agree to cooperate with Isochron's reasonable requests in connection therewith. 2.1.2 No Modification. Licensee shall not modify or develop derivative works of the Software. 2.1.3 No Copying. Licensee shall not copy, duplicate, print, or display, nor permit any person, corporation, or other entity to copy, duplicate, print, or display the Software or the Documentation in whole or in part. Notwithstanding the foregoing sentence, Licensee may make one backup copy of the Software, which may only be used to reinstall the Software in strict compliance with the terms of this Agreement. 2.1.4 No Decompiling, Reverse Engineering, etc. Licensee shall not decompile, reverse engineer, disassemble, or print the Software object code in any form or language, nor otherwise derive any source code for the Software. 2.1.5 No Transfer Rights. The license rights granted herein may not be transferred to any subsidiary, successor, affiliate, operating entity, or any other entity without the prior written consent of Licensor (which consent may be withheld by Isochron for any reason), and any attempted transfer shall cause the License granted by this Agreement to terminate immediately. 2.1.6 Use of Documentation. Licensee may use the Documentation solely for the purpose of supporting its use of the Software under the terms of this Agreement. 3. OWNERSHIP OF INTELLECTUAL PROPERTY 3.1 Ownership - Generally. All right, title, and interest in the Software, Documentation and Proprietary Rights embodied therein, including any derivative works thereof, shall remain the sole and exclusive property of Licensor. 3.2 Proprietary Notices. Licensee shall not alter, change or remove any proprietary notices or confidentiality legends placed on or contained within the Software. 3.3 Notice of Infringement; Misappropriation. In the event you become aware of any action that may infringe or misappropriate the Proprietary Rights of Licensor, you agree to promptly notify Licensor of such action. 3.4 No Encumbrances. Licensee shall keep the Software free and clear of all claims, liens, and encumbrances. 4. CONFIDENTIALITY 4.1 General. Licensee agrees that the Software is Confidential Information of Licensor, and Licensee agrees to protect and maintain the confidentiality of the Software, Documentation and other Confidential Information and to prevent its unauthorized use or dissemination. You agree to use all Confidential Information only for purposes related to the performance of this Agreement. All Confidential Information remains the property of the party disclosing the information and, except for the License expressly granted under this Agreement, no license or other right to Confidential Information is granted or implied hereby. 4.2 Exclusions. The above restrictions do not apply to information which (i) is generally known or available by publication, commercial use, or otherwise; (ii) is known by the receiving party through no wrongdoing and is not subject to restriction at the time of the disclosure; (iii) is independently developed by the receiving party without the use of Confidential information; or (iv) is lawfully obtained from a third party without violation of a confidentiality obligation to the disclosing party. 4.3 No Derivatives. Licensee (including in each case its employees and independent contractors) may not develop, use, market, license, sell, or otherwise distribute any products derived in whole or in part from the Software or based on techniques revealed by Licensee's inspection and use of the Software and Documentation. 4.4 Equitable Relief. You consent to an injunction or other equitable relief, without bond, if sought by Licensor due to your breach of any of the terms of this Section regarding the disclosure of Confidential Information, in addition to any other legal or equitable remedies that may be available to Licensor. 5. LIMITED WARRANTY AND LIMITATION OF LIABILITY 5.1 Limited Warranty. Isochron warrants that the media provided by Isochron containing the Software will be free from defects in materials and workmanship under normal use for thirty days from the date you receive them. This warranty is limited to you and is not transferable. In the event of noncompliance with the foregoing limited warranty, you must notify Isochron, and the entire liability of Isochron and its suppliers, and your exclusive remedy, shall be (at Isochron's sole and exclusive option) (a) return of the price paid for the Software and termination of your License, or (b) replacement of any disk or other media not meeting this warranty, provided that such defective media is either destroyed or returned to Isochron, as instructed by Isochron, and at your cost and risk. This limited warranty is void if any disk or media damage has resulted from accident, abuse, misapplication, or service or modification by someone other than Isochron. 5.2 WARRANTY DISCLAIMER. EXCEPT AS EXPRESSLY STATED HEREIN AND TO THE MAXIMUM EXTENT ALLOWED BY LAW, LICENSOR AND ITS SUPPLIERS PROVIDE THE SOFTWARE, AND ANY (IF ANY) SUPPORT SERVICES RELATED TO THE SOFTWARE AS IS AND WITH ALL FAULTS. LICENSOR AND ITS SUPPLIERS HEREBY DISCLAIM WITH RESPECT TO THE SOFTWARE AND SUPPORT SERVICES ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY (IF ANY) WARRANTIES, DUTIES, OR CONDITIONS OF OR RELATED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, LACK OF VIRUSES, NON-INFRINGEMENT OF PROPRIETARY RIGHTS, COMPATIBILITY OF SOFTWARE WITH PRODUCTS USED BY LICENSEE, ACCURACY OR COMPLETENESS OR RESPONSES, RESULTS, WORKMANLIKE EFFORT AND NEGLIGENCE. THERE IS NO WARRANTY, DUTY OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, OR CORRESPONDENCE TO DESCRIPTION OR NON-INFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE AND ANY SUPPORT SERVICES REMAINS WITH LICENSEE. MOREOVER, THERE IS NO WARRANTY THAT THIS INFORMATION, LICENSOR EFFORTS, OR THE SOFTWARE WILL FULFILL ANY OF LICENSEE'S PARTICULAR PURPOSES OR NEEDS. LICENSEE MAY NOT MAKE ANY WARRANTY ON LICENSOR'S BEHALF TO ANY THIRD PARTY. 5.3 LIMITATION OF LIABILITY. IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF DATA, LOSS OF USE OF COMPUTER HARDWARE, DOWNTIME, LOSS OF GOODWILL, LOSS OF BUSINESS, OR COMPUTER MALFUNCTION, NOR SHALL LICENSOR BE LIABLE FOR ANY DAMAGES, INCLUDING DIRECT, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES, BASED UPON STRICT PRODUCT LIABILITY OR UPON THE NEGLIGENCE (OTHER THAN GROSS NEGLIGENCE) OF LICENSOR, ITS EMPLOYEES, OFFICERS, DIRECTORS, OR CONSULTANTS EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE TOTAL LIABILITY OF LICENSOR EXCEED THE ACTUAL AMOUNTS PAID BY LICENSEE TO LICENSOR UNDER THIS AGREEMENT, EXCEPT THAT LICENSEE MAY BE LIABLE TO PAY AMOUNTS OWED BUT NOT PAID. 6. TERM AND TERMINATION 6.1 Term. This Agreement shall begin on the Effective Date and shall continue until terminated as provided in this Agreement. 6.2 Termination by Licensor. Your License will automatically terminate if you violate any of your obligations set forth in this Agreement. 6.3 Return of the Software. Upon termination of this Agreement, Licensee will immediately cease using the Software and will deliver to Licensor the Software and all Documentation related thereto to Licensor pursuant to this Agreement, or if Licensor agrees, destroy the Software and all Documentation. 6.4 Additional Remedies. In addition to the rights, remedies, recourses, and powers of Licensor as set forth in this Agreement, upon the occurrence of any failure to comply with any Licensee obligation, Licensor shall have available to it all other remedies available at law or in equity. 6.5 Survival. Sections 3, 4, 5, 6 and 7 as well as any obligation to pay fees owing at the time of expiration or termination hereof shall survive any expiration or termination hereof. 7. GENERAL 7.1 Waiver. The failure or forbearance by Licensor to enforce any right or claim shall not be deemed to be a waiver of such right or claim or any right or claim hereunder. The waiver of a breach hereof by Licensor shall not operate or be construed as a waiver of any subsequent breaches of the same or any other provision. 7.2 Entire Agreement. This Agreement and any agreements or documents referenced herein constitutes the entire agreement between the parties with respect to the subject matter thereof and supersedes all prior proposals, agreements, negotiations, correspondence and all other communications, whether written or oral, between Licensor and Licensee. No modification or waiver of any provision hereof shall be effective unless made in writing signed by both Licensor and Licensee. 7.3 Severability. If any provision hereof is determined in any proceeding binding upon the parties to be invalid or unenforceable, that provision shall be deemed severed from the remainder of such agreement, and the remaining provisions of such agreement shall continue in full force and effect. 7.4 Limitation on Actions. No action, regardless of form, arising out of or relating to this Agreement may be brought by Licensee more than one (1) year after the cause of action has accrued. 7.5 Applicable Law; Forum; Service of Process. This Agreement will be construed in accordance with the laws of the State of Texas without regard to its conflicts of laws principles. Any dispute regarding or relating to this Agreement shall be exclusively in a state or federal court located in Travis County, Texas. 7.6 Attorneys' Fees. If Licensor employs attorneys to enforce any rights arising out of or related to this Agreement and prevails in such action, Licensor shall be entitled to recover its reasonable attorney's fees and costs from Licensee. 7.7 Export Compliance. The Software, including technical data, may be subject to U.S. and/or Canadian export control laws, and associated regulations, and may be subject to export or import regulations in other countries. Licensee agrees to comply strictly with all such regulations and acknowledges that it shall not export, re-export or import the Software after delivery to Licensee. Licensee shall make reasonable efforts to notify and inform its employees having access to the Software of Licensee's obligation to comply with the requirements stated in this Subsection. 7.0 Notices. Notice of any dispute or matter related hereto should be sent in writing to Isochron at its address as set forth in the first paragraph of this Agreement, or at such address as Isochron may later specify in writing for such purposes. 7.0 Assignment. This Agreement shall not be assigned in whole or in part by Licensee to any other party without the prior written approval of Licensor. Any attempted assignment, sublicense or delegation in contravention of this provision shall not be recognized by Licensor and may void the License. Acceptance of Terms and Conditions of this Agreement: Isochron has agreed to extend to you the rights set forth herein in reliance on your agreement to the terms of this Agreement. By your use of any Licensed Product, you agree to be bound by the terms and conditions set forth herein without the need for any signature to this Agreement by either party.
